Simpson Thacher recently represented an investor consortium advised by J.C. Flowers & Co. LLC ("JCF") in a partial tender offer and successful acquisition of 24.9% of Hypo Real Estate Holding AG (“HRE”) for €1.1 billion. HRE is Germany’s second-largest commercial property lender and a global leader in commercial real estate financing. The equity capital for the acquisition was funded by alternative investment vehicles of funds advised by JCF, including J.C. Flowers II L.P., a private equity fund with over $7 billion in capital commitments, and various funds managed by affiliates of Grove International Partners LLP.
