Simpson Thacher is advising Mars, Incorporated, one of the world's leading consumer and confectionary goods companies, in connection with the acquisition of The Wm. Wrigley Jr. Company, and over $22 billion in committed financings from Berkshire Hathaway, JPMorgan and Goldman Sachs to finance the acquisition and on-going working capital need of the two companies. The transaction is valued at approximately $23 billion. Under the terms of the merger agreement, shareholders of Wrigley will receive $80 in cash for each share of Common Stock and Class B Common Stock of Wrigley. The combined organization will have a product portfolio containing some of the world's most recognizable confectionery brands -- including Orbit®, Extra®, Doublemint®, M&M's®, Snickers® and Mars® -- as well as leading food, beverage and pet care brands, totaling over $27 billion in global sales.
