Firm Represents Northwest in Merger with Delta Airlines

Simpson Thacher is representing Northwest Airlines Corporation in its stock-for-stock merger with Delta Airlines, Inc., creating America's largest airline with a combined enterprise value of $17.7 billion. The combined airline will have more than $35 billion in aggregate annual revenues, operate a mainline fleet of nearly 800 aircraft and employ approximately 75,000 people worldwide. The merger is subject to the approval of Delta and Northwest shareholders and regulatory approvals. It is expected that the regulatory review period will be completed later this year.
