Simpson Thacher Represents Ingersoll-Rand Company Limited in Proposed Acquisition of Trane Inc. for $10.1 Billion

Simpson Thacher is representing Ingersoll-Rand Company Limited in connection with its proposed acquisition of Trane Inc. The transaction is valued at approximately $10.1 billion.

Under the terms of the merger agreement, Trane stockholders will receive $36.50 in cash and 0.23 shares of Ingersoll-Rand for each share of Trane common stock. The transaction, which is expected to close late in the first quarter or early in the second quarter of 2008, is subject to approval by Trane stockholders, regulatory approvals and customary closing conditions.

Ingersoll Rand is a global diversified industrial firm providing products and services to transport and protect food and perishables, secure homes and commercial properties, and enhance industrial productivity and efficiency. Trane, previously named American Standard Companies Inc., is a provider of air quality and comfort systems including heating, ventilation and air conditioning for homes and businesses worldwide.
