Simpson Thacher recently represented LPS Brasil - Consultoria de Imóveis S/A and its selling shareholder in an initial offering of common shares that closed on December 20, 2006. The transaction raised the U.S. dollar equivalent of approximately US$192 million in proceeds in a secondary offering. In addition, the underwriters exercised an overallotment option granted by the selling shareholder. The common shares were offered to the public in Brazil, with selling efforts to qualified institutional buyers in the United States under Rule 144A and to non-U.S. persons in Europe under Regulation S. LPS Brasil - Consultoria de Imóveis S/A is the largest real estate brokerage services firm in Brazil.
The Simpson Thacher team for the transaction consisted of Jaime Mercado, Andrea Andrezo, Grenfel Calheiros and Thiago Spercel (corporate), and Jonathan Cantor and Peter Rosen (tax).
