Simpson Thacher recently represented an investor consortium advised by J.C. Flowers & Co. LLC ("JCF") in its acquisition of 26.58% of HSH Nordbank AG ("HSH") for €1.25 billion. This transaction was noteworthy in that it is the first private sector investment into a Landesbank, or state-owned wholesale bank, in Germany. The equity capital for the acquisition was funded by alternative investment vehicles of J.C. Flowers II L.P. ("JCF II"), a private equity fund with a $7 billion target that ST&B is representing in connection with its formation, and by limited partners of JCF II in the form of co-investment.
