Simpson Thacher represented MasterCard Incorporated in connection with the $2.6 billion initial public offering of its Class A common stock, which began trading on the New York Stock Exchange on May 25, 2006. MasterCard is a leading global payment solutions company that provides a variety of services in support of the credit, debit and related payment programs of nearly 25,000 financial institutions.
MasterCard’s IPO is the largest initial public offering in the United States since 2004 and involved a significant restructuring of the company’s capital structure and corporate governance that broadened the ownership of the company to include public investors and a MasterCard charitable foundation in addition to the company’s financial institution customers. MasterCard’s IPO was underwritten by a syndicate of underwriters led by Goldman, Sachs & Co., Citigroup, HSBC and JPMorgan.
