Simpson Thacher Represents Goldman Sachs and Providence in $3.4 Billion Acquisition of Education Management Corporation

The Firm is representing Goldman Sachs Capital Partners and Providence Equity Partners in their $3.4 billion cash acquisition of Education Management Corporation.  Education Management Corporation is one of the largest providers of private post-secondary education in North America and operates 72 campus locations. 

Signed on March 3, 2006, under the terms of the merger agreement, the private investors will acquire all of the company’s shares for $43.00 per share in cash.
