Simpson Thacher is representing KSL Capital Partners and its portfolio company Ross Aviation in connection with the proposed combination of Ross Aviation and Atlantic Aviation, a portfolio company of KKR, in an all-stock transaction to create a leading aviation infrastructure platform with one of the largest networks of fixed based operators (“FBOs”) in North America. The transaction is expected to close in the first half of 2022, subject to regulatory approvals and other customary closing conditions. Upon closing of the transaction, an affiliate of KSL will join KKR as a significant minority investor in Atlantic Aviation.
Founded in 2016 by KSL and Jeff Ross, Ross Aviation and its affiliated companies operate 19 FBOs across the United States and the Caribbean.
