Simpson Thacher Represents GardaWorld on Its Offer For G4S

Simpson Thacher is representing Garda World Security Corporation (“GardaWorld”) in its announced offer for the entire issued and to be issued ordinary share capital of G4S plc (“G4S”). The offer represents an equity value of approximately £2.9 billion.

Additionally, the Firm is also representing GardaWorld in the committed debt financing related to its announced offer for the entire issued and to be issued ordinary share capital of G4S. The transaction is expected to be financed with $4.25 billion of secured and unsecured USD term loans and bridge financing, €1.29 billion of secured Euro term loans and bridge financing, as well as equity financing provided by funds advised by BC Partners.
