As a Partner in the Firm’s Public Company Advisory Practice, Jennifer Nadborny advises companies on all aspects of their compliance with the U.S. securities laws and the listing requirements of the major U.S. exchanges. Her practice particularly focuses on compliance and reporting under Section 16 and Section 13(d) of the Securities Exchange Act of 1934 and Rule 144 of the Securities Act of 1933. Jennifer has advised a wide range of clients, with a focus on transactions by leading private equity firms, including Blackstone, Hellman & Friedman, KKR and Silver Lake, with respect to initial public offerings of portfolio companies, merger and PIPE-related activities, and significant secondary sales transactions. She also regularly advises CEOs and other executives on such matters with respect to their long-term estate planning.

Jennifer Nadborny is a Partner in Simpson Thacher’s New York office and a member of the Firm’s Public Company Advisory Practice. Jennifer’s practice particularly focuses on compliance and reporting under Section 16 and Section 13(d) of the Securities Exchange Act of 1934 and Rule 144 of the Securities Act of 1933, relating to a wide variety of transactions and other corporate matters, including those involving initial public offerings, transactions by officers and directors, equity compensation reporting, and registered and unregistered sales by significant shareholders. She also regularly advises CEOs and other executives on such matters with respect to their long-term estate planning.

Jennifer has advised a wide range of clients, with a focus on transactions by leading private equity firms, including, among others, Blackstone Inc., KKR & Co Inc., Hellman & Friedman and Silver Lake Partners, including with respect to initial public offerings of portfolio companies, merger and PIPE-related activities, and significant secondary sales transactions.

In addition, Jennifer advises companies on all aspects of their compliance with the U.S. securities laws and the listing requirements of the major U.S. exchanges. Jennifer regularly assists management, boards of directors and board committees on a wide range of matters, including SEC and stock exchange reporting and disclosure requirements.

Jennifer received her J.D. from University of Virginia School of Law in 2004, where she was a member of the Order of the Coif, and a B.A., with distinction, from Cornell University in 2001. She is admitted to practice in New York.
