The article explored the Treasury’s first-ever CFIUS Enforcement and Penalty Guidelines, which were recently released and are another step in the Committee’s continued focus and messaging around mitigation and enforcement. It further highlights the three types of conduct which the Guidelines outline may constitute a violation and that a penalty will not necessarily be assessed in connection with all violations, as aggravating and mitigating factors will be taken into account through an individualized, fact-based analysis.
