Antitrust Counsel James Goldfeier and Kelly Karapetyan, together with Peter Guryan and Sara Razi, Global Co-Chairs of the Firm’s Antitrust and Trade Regulation Practice, authored an article titled “Simpson Thacher Discusses Revised Hart-Scott-Rodino Thresholds,” which was published by Columbia Law School’s Blue Sky Blog. The article examines the FTC’s proposed revisions to monetary thresholds for the HSR Act that will take effect at the end of February. Among the primary revisions are increased thresholds for the “size-of-transaction” and “size-of-person” tests for filing under the Act, as well as increased notification thresholds for acquisitions of additional voting securities from the same party.
