Partners Steve Cutler and Nick Goldin, and Associate David Caldwell authored an article titled, “Justice Department Updates Its Guidance on Corporate Compliance Programs,” which was published by the Harvard Law School Forum on Corporate Governance. The article highlighted the DOJ Criminal Division’s recently updated guidance for prosecutors to use when evaluating a company’s compliance program in the context of corporate charging and settlement decisions, noting that the revised guidance includes limited but noteworthy changes from the DOJ’s April 2019 version. The article further discussed its substantive updates in areas including how compliance programs are resourced, how they evolve and adapt, and how they address pre-acquisition due diligence and post-acquisition compliance integration in mergers and acquisitions.
