SEC Adopts Amended Rules for Compensation and Corporate Governance Disclosure
On December 16, 2009, the Securities and Exchange Commission adopted amendments to its rules on compensation and corporate governance disclosure. Proxy statements and annual reports on Form 10-K must be in compliance with the new rules if (1) the company’s fiscal year ends on or after December 20, 2009 and (2) the proxy statement or annual report is filed on or after February 28, 2010.
