Partners Marc Berger, Michael Osnato, Brooke Cucinella, Joshua Levine and Nicholas Goldin, and Associate Regina Wang authored an article titled, “SEC Focuses Enforcement Efforts on SPAC Transactions,” which was published by the Harvard Law School Forum on Corporate Governance. The article discusses one of the SEC’s first major enforcement actions against a special purpose acquisition company (“SPAC”) and how this case highlights the Agency’s intense focus on the SPAC market. It further noted that this could be a harbinger of cases against other participants in SPAC transactions and diligence processes related to those transactions, including related to underwriters and auditors.
