Étienne Renaudeau, Josh Buckland and Ross Ferguson Author Law360 Article on U.K.’s New National Security Regime

Antitrust Partner Étienne Renaudeau, Counsel Josh Buckland and Associate Ross Ferguson authored an article in Law360 titled “A Primer on UK’s New Investment Screening Regime.” The article examines the U.K.’s newly-enacted National Security and Investment Act, which applies to all investors—regardless of nationality—who are involved in transactions that may give rise to national security risks. The authors provide an overview of the new act, which requires mandatory notification for transactions relating to any of 17 identified strategic sectors in the U.K., and which strongly incentivizes voluntary notification for other transactions where potential national security issues could arise. The article also outlines the potential impact of these new screening procedures on deal timetables and highlights how the regime represents a sea change in the U.K.’s approach to national security concerns.
