Kioxia Holdings Corporation Completes ¥104.7 Billion Initial Public Offering

Simpson Thacher recently represented Kioxia Holdings Corporation in connection with its ¥104.7 billion (approximately US$698 million) initial public offering of shares, including an international offering to institutional investors outside Japan pursuant to Rule 144A and Regulation S under the Securities Act. The shares in the international offering consisted of existing shares sold by two major selling shareholders, BCPE Pangea Cayman, L.P. and Toshiba Corporation.

Kioxia Holdings Corporation is a leading worldwide supplier of NAND flash memory and SSD products, with global operations in 10 countries.

The international joint lead managers for the international offering were Morgan Stanley & Co. International plc, Nomura International plc, Merrill Lynch International and Goldman Sachs International.
