Executive Compensation and Employee Benefits Partner Gillian Emmett Moldowan participated in the Practising Law Institute’s (PLI) Twenty-Second Annual Directors' Institute on Corporate Governance program on a panel titled, “Delaware Spotlight: What Boards Need to Know,” on November 25 in New York. Gillian discussed recent developments in Delaware corporate governance with a focus on executive compensation decision making at the board level. The panel also discussed various topics, including law amendments, board roles, conflict management, controlled corporations and shareholder litigation trends.
The overall program explored insights from leading experts in corporate governance on how boards can effectively navigate the evolving landscape of expectations and responsibilities including critical areas such as privacy, cybersecurity, artificial intelligence and corporate disclosure, as well as the risks and benefits of engaging with activist investors. This program aimed to further equip boards to address current challenges and adapt to future changes.
