Simpson Thacher Represents the Underwriters in $2.5 Billion Aggregate Debt Offering by Charles Schwab

The Firm represented the underwriters, led by BofA Securities, Inc., Citigroup Global Markets Inc., Credit Suisse Securities (USA) LLC, Goldman Sachs & Co. LLC, J.P. Morgan Securities LLC and Wells Fargo Securities, LLC as joint bookrunning managers, in connection with the public offering by The Charles Schwab Corporation (“Charles Schwab”) of $2.5 billion aggregate principal amount of Fixed-to-Floating Rate Senior Notes, consisting of $1.2 billion aggregate principal amount of 5.643% Fixed-to-Floating Rate Senior Notes due 2029 and $1.3 billion aggregate principal amount of 5.853% Fixed-to-Floating Rate Senior Notes due 2034. The offering closed on May 19, 2023.
