Simpson Thacher Represents Underwriters in $1.25 Billion Debt Offering by Humana

The Firm represented the underwriters, led by Citigroup, Morgan Stanley, US Bancorp and Wells Fargo Securities among others in a public offering by Humana Inc. (“Humana”) of $500 million aggregate principal amount of 5.7% Senior Notes due 2026 and $750 million aggregate principal amount of 5.5% Senior Notes due 2053.
Humana intends to use the net proceeds from the offering to repay outstanding amounts under its $500 million Delayed Draw Term Loan. Humana intends to use the remainder of the net proceeds for general corporate purposes, which may include the repayment of borrowings under its commercial paper program.
