LLC, as representatives of the underwriters, in connection with the registered public offering of 23,000,000 ordinary shares of AerCap Holdings N.V. (“AerCap”). A total of approximately $1.3 billion of proceeds before expenses were raised in the offering. An affiliate of General Electric Company received all of the proceeds from the offering.
