Simpson Thacher represented Western Asset High Income Fund II Inc. (the “Fund”) in an SEC-registered at-the-market equity program pursuant to which the Fund may offer and sell shares of its common stock having an aggregate offering price of up to $143,970,507, from time to time, through JonesTrading Institutional Services, LLC.
The Fund is a closed-end management investment company registered under the 1940 Act. The Fund’s common shares trade on the NYSE under the ticker symbol “HIX.” Legg Mason Partners Fund Advisor, LLC is the Fund’s investment manager. The Fund is sub-advised by Western Asset Management Company, LLC and its affiliates. The investment manager and the sub-advisers are indirect wholly-owned subsidiaries of Franklin Templeton.
