Simpson Thacher represented Libra GroupCo S.p.A. (“Issuer”), a subsidiary of Libra Holdco SARL (together with its subsidiaries, including the Issuer and Lutech S.p.A., “Lutech”), in connection with its Regulation S private placement of €63 million in aggregate principal amount of 5% Senior Secured Notes due 2027 (“Additional Notes”). The private placement closed on February 8, 2022. The Additional Notes constitute a further issuance of the Issuer’s 5% Senior Secured Notes due 2027 issued on May 24, 2021.
