Michael Wolitzer Quoted in The Wall Street Journal on Use of Key Person Clauses in Private Equity Fund Agreements

Michael Wolitzer, Head of the Firm’s Investment Funds Practice, was quoted in an article published by The Wall Street Journal titled, “Coming to Terms: Private-Equity Investors Stress Key Person Protections,” which addressed the use and importance of key person clauses in investment agreements. Michael noted that the provisions are increasingly being applied to more than one person as firms become larger, add more fund strategies and the roles of senior executives evolve. He explained key person clauses can be structured in different ways, and, for example in certain circumstances, if a majority of people important to the fund remain, “the key person clauses will not be triggered.”
