Olga Gutman Quoted in Private Equity Law Report on Internal Arrangements and Other Upper-Tier Structures for New PE Firms

Corporate Partner Olga Gutman was quoted extensively in a Private Equity Law Report article titled, “Prioritizing Upper‑Tier Structures: Hazards of Overlooking Internal Arrangements and Importance of Weighing Certain Governance Issues (Part One of Two),” stemming from a panel discussion she participated in as part of Practising Law Institute’s recent Advanced Issues in Private Funds 2021 program. The article explored internal arrangements and other related issues of upper-tier structures when starting a new PE firm. Olga explained that, following a fundraise, it is not uncommon for a sponsor to only consider its internal arrangements again when a strategic transaction is imminent and that those transactions could potentially allow an outside buyer to participate in the economics and governance of the underlying firm, which can create pressures both when the transaction occurs and for a firm’s ongoing arrangements.
