Simpson Thacher Represents Initial Purchasers in Verint Systems’ $315 Million Convertible Senior Notes Offering, Dealers in Concurrent Capped Call Transactions and Lead Arranger and Joint Bookrunners in a New Revolving Facility

The Firm recently represented the initial purchasers, led by J.P. Morgan Securities LLC, in the offering of $315 million aggregate principal amount of 0.25% Convertible Senior Notes due 2026 by Verint Systems Inc. (“Verint Systems”), which includes the full exercise of the initial purchasers’ option to purchase additional Notes.

In addition, the Firm represented certain of the initial purchasers and/or their respective affiliates and other financial institutions in connection with the capped call transactions relating to the common stock of Verint Systems, entered into concurrently with the offering of the Notes.

The Firm also represented the lead arranger and joint bookrunners in connection with a new $300 million Revolving Facility for Verint Systems.
