The Firm represented the initial purchasers, led by J.P. Morgan Securities LLC and Wells Fargo Securities, LLC, in connection with the offering by IMAX Corporation of $230 million aggregate principal amount of 0.5% Convertible Senior Notes due 2026, which includes the full exercise of the initial purchasers’ option to purchase additional notes. In addition, the Firm represented the initial purchasers in connection with privately negotiated capped call transactions with certain of the initial purchasers or their affiliates and other financial institutions. The capped call transactions covered, subject to anti-dilution adjustments substantially similar to those applicable to the notes, the number of common shares underlying the notes.
