Simpson Thacher Represents Initial Purchasers in TechTarget’s $201.25 Million Convertible Senior Notes Offering

The Firm recently represented the initial purchasers, led by J.P. Morgan Securities LLC and Deutsche Bank Securities Inc., in the offering of $201.25 million aggregate principal amount of 0.125% Convertible Senior Notes due 2025 by TechTarget, Inc. (“TechTarget”), which includes the full exercise of the initial purchasers’ option to purchase additional Notes. TechTarget, Inc. intends to use the proceeds to (1) fund the cash consideration payable for, and certain costs associated with, its acquisition of BrightTalk Limited, (2) to fund an additional acquisition with which TechTarget has entered into a non-binding letter of intent and (3) the remainder (including, if either acquisition is not completed) for general corporate purposes.
