Simpson Thacher Advises on Apache’s $1.25 Billion Notes Offering and Related Tender Offer

Simpson Thacher represented the underwriters, led by J.P. Morgan Securities LLC, BofA Securities, Inc. BMO Capital Markets Corp. and Scotia Capital (USA) Inc., in connection with the registered public offering by Apache Corporation of $500 million aggregate principal amount of its 4.625% Senior Notes due 2025 and $750 million aggregate principal amount of its 4.875% Senior Notes due 2027. Apache (Nasdaq: APA) used the proceeds from the offering to fund its waterfall cash tender offer to purchase a portion of several series of its outstanding senior notes, to repay other indebtedness and for general corporate purposes. The Firm also represented J.P. Morgan Securities LLC, BofA Securities, Inc. and BMO Capital Markets Corp. as dealer managers in connection with the tender offer.
