Simpson Thacher Represents Underwriters in $900 Million Senior Notes Offering in Connection with WPX Energy’s Acquisition of Felix

Simpson Thacher represented the underwriters in connection with the offering by WPX Energy, Inc. (“WPX”) of $900 million aggregate principal amount of its 4.5% Senior Notes due 2030. WPX intends to use the net proceeds from the offering to finance a portion of the cash consideration for the acquisition of Felix Investment Holdings II, LLC (“Felix”) and to pay related fees and expenses.

WPX is an independent energy producer with core positions in the Permian and Williston basins. WPX also has an infrastructure portfolio in the Permian Basin.

Felix is engaged in the acquisition, development and production of oil and gas properties in the Permian Basin.
