Litigation Partner Peter Guryan and Corporate Partner Alan Klein were quoted in a Law360 article titled “Yes, Deals Are Getting Harder To Close,” which discusses how the regulatory environment and vocal shareholder opposition are making it more difficult to close M&A deals. In the article, Alan notes that there was an expectation that the current administration would have “a much lighter touch” than the last one when it came to regulatory oversight and enforcement. However, the U.S. Department of Justice’s decision to try and block AT&T’s acquisition of Time Warner shows that the current administration “. . . is willing and has taken a very active look at transactions,” according to Peter. He continues, “[t]his administration has made clear that to remedy vertical concerns in transactions, that they prefer a structural fix, a divestiture, rather than the type of behavioral fix which the prior administration was more willing to accept.”
