Simpson Thacher Represents Underwriters in $1 Billion Senior Notes Offering by AerCap

Simpson Thacher represented the underwriters, led by Goldman Sachs & Co. LLC, Merrill Lynch, Pierce, Fenner & Smith Incorporated, Morgan Stanley & Co. LLC, SunTrust Robinson Humphrey, Inc. and Wells Fargo Securities, LLC, in connection with the registered public offering by AerCap Ireland Capital DAC and AerCap Global Aviation Trust, subsidiaries of AerCap Holdings N.V. (“AerCap”), of $500 million aggregate principal amount of 4.875% Senior Notes due 2024 (the “2024 Notes”) and $500 million aggregate principal amount of 4.45% Senior Notes due 2026. The 2024 Notes are an issuance of further notes under the indenture pursuant to which AerCap previously issued $400 million aggregate principal amount of 4.875% Senior Notes due 2024. AerCap intends to use the net proceeds of the offering for general corporate purposes, including to acquire, invest in, finance or refinance aircraft assets and to repay indebtedness.

AerCap is a global leader in aircraft leasing. As of December 31, 2018, AerCap owned 962 aircraft and managed 96 aircraft. AerCap serves approximately 200 customers in approximately 80 countries with comprehensive fleet solutions from its headquarters in Dublin, with offices in Shannon, Los Angeles, Singapore, Amsterdam, Shanghai, Abu Dhabi, Seattle and Toulouse.
