David Sneider has been appointed as a member of the “Study Group On Fair M&A Procedures,” established by Japan’s Ministry of Economy, Trade and Industry. The Study Group has been created to consider the fairness of M&A procedures in Japan, including a review of the “Guidelines related to Management Buyouts to Increase Corporate Value and Ensure Fair Procedures (the MBO Guidelines)” issued by the Ministry in 2007. In addition to revisiting the MBO Guidelines, the Study Group will examine other types of M&A transactions in which conflicts of interest exist, such as going-private transactions by controlling shareholders.
