The Firm represented Merrill Lynch Canada Inc. and TD Securities Inc., as Canadian dealer managers, and Merrill Lynch, Pierce, Fenner & Smith Incorporated, as U.S. dealer manager, in connection with a modified “Dutch auction” tender offer by Thompson Reuters Corporation for up to $9 billion of its common shares. The tender offer was funded with a portion of the proceeds received by the company from its sale of a 55% interest in its Financial & Risk business to private equity funds managed by The Blackstone Group. Canada Pension Plan Investment Board and an affiliate of GIC.
