Simpson Thacher Advises on Largest Private Equity Transactions of the Year

Simpson Thacher has advised clients on each of the six largest U.S. private equity deals this year and five of the top 10 global PE deals, according to Bloomberg data for the first half of 2018. The Firm is representing a Blackstone-led consortium in its $20 billion partnership with Thomson Reuters that will hold Thomson Reuters’ Financial & Risk Business, which is the largest private equity deal of the year, and is also representing KKR in its $9.9 billion acquisition of Envision Healthcare, the largest U.S. public company buyout. Among the other largest U.S. deals, Simpson Thacher is representing Blackstone affiliates in connection with the acquisition of three public REITs: the $7.6 billion acquisition of Gramercy Property Trust, the $4.8 billion acquisition of LaSalle Hotel Properties (which is subject to a competing bid by another public REIT) and the $4.6 billion acquisition of Education Realty Trust (a Blackstone-led joint venture with Greystar is acquiring $1.2 billion of assets in conjunction with Greystar’s acquisition of Education Realty). Other representations among the top transactions include Ant Financial’s $14 billion Series C equity financing and Microsoft’s announced $7.5 billion acquisition of GitHub. 

Simpson Thacher was highlighted for its accomplishments in the private equity space by The Deal in an article titled “Q2 Flash Report: KKR Leads PE Deal Value Skyward.” The article discussed additional noteworthy PE transactions that the Firm has recently advised on including KKR’s announced acquisition of BMC Software; KKR’s Air Medical Group in its acquisition of American Medical Response; and Hellman & Friedman’s announced $3 billion acquisition of Financial Engines.
