Corporate Partner Rajib Chanda was quoted in BoardIQ, a Financial Times news service, in an article “Fund Boards Like Diversity of Opinion – to a Certain Point,” which discusses the potential advantages of having board directors who provide opposing viewpoints to the “group think” of the board. Though having differing opinions on issues can push a board towards more balanced decisions, the way those opinions are voiced have to remain collegial in order to be effective, as fund board director dynamics discourage “squeaky wheels.” As Rajib points out, fund boards “place high value on cultural cohesion and fit and collegial working relationships,” and though directors may disagree on issues, they should ideally discuss those issues with the independent board chair or board counsel ahead of time to help shape proposals, rather than simply object at a board meeting.
