The Firm represented Hilton Worldwide Holdings Inc. (NYSE: HLT) in connection with a $4.8 billion secondary offering of 66,000,000 shares of common stock by a selling stockholder affiliated with HNA Tourism Group Co., Ltd. Hilton also effected a $1.2 billion share repurchase of 16,500,000 shares of common stock from the selling stockholder. The transaction is the largest secondary offering since 2011.
