Andino Investment Holdings Announces US$315.7 Million Sale of Cosmos to DP World

Simpson Thacher is representing Andino Investment Holdings S.A.A. (“Andino”) in connection with the proposed sale of its subsidiary, Cosmos Agencia Marítima S.A.C. (“Cosmos”), to DP World Peru, an affiliate of DP World. Under the terms of the transaction, DP World will acquire all of the outstanding shares of Cosmos, together with certain real estate of Andino, at approximately $315.7 million on an enterprise value basis. The transaction, which is expected to close in the first half of 2018, is subject to stockholder and regulatory approvals and other customary closing conditions.

Based in Peru, Cosmos owns a fully integrated logistics service business (Neptunia S.A and Triton Transport S.A.) that offers end-to-end solutions to its customers. The logistics division offers an integrated platform of solutions in activities related to foreign trade, product storage and distribution, as well as freight services that facilitate development and implementation of industry-specific projects. In addition to the maritime and logistics services offered by Cosmos, it also has a 50% stake in Terminales Portuarios Euroandinos S. A., in the Port of Paita, Peru, which is the second-largest container terminal in the country.
