The Firm acted as U.S. counsel for the underwriters, led by BMO Capital Markets and RBC Capital Markets, in connection with a secondary offering of subordinate voting shares of BRP Inc. (“BRP”). Certain existing shareholders of BRP , including the Beaudier Group, affiliates of Bain Capital and CDPQ, sold an aggregate of 10,000,000 subordinate voting shares in the offering for aggregate gross proceeds of approximately C$433.5 million. The shares were offered publicly in Canada and in reliance on Rule 144A in the United States.
BRP is a global leader in the design, development, manufacturing, distribution and marketing of powersports vehicles and propulsion systems, including Ski-Doo and Lynx snowmobiles, Sea-Doo watercrafts, Can-Am off-road and Spyder vehicles and engines for karts, motorcycles and recreational aircraft.
