NongHyup Bank Completes US$8 Billion GMTN Program Update and US$500 Million Notes Offering

Simpson Thacher, acting as sole international counsel, represented Société Générale, as arranger and dealer, and BNP Paribas, Citigroup Global Markets Inc., Commerzbank Aktiengesellschaft, Crédit Agricole Corporate and Investment Bank, The Hongkong and Shanghai Banking Corporation Limited, ING Bank N.V., Singapore Branch, J.P. Morgan Securities plc, Merrill Lynch International, Mizuho Securities Asia Limited, NH Investment & Securities Co., Ltd., Nomura International plc, Standard Chartered Bank, UBS AG Hong Kong Branch, as dealers, in connection with the update of the US$8 billion global medium term note program of NongHyup Bank. In addition, Simpson Thacher, acting as sole international counsel, represented Citigroup Global Markets Inc., Crédit Agricole Corporate and Investment Bank, Merrill Lynch International, Nomura International plc, Société Générale and UBS AG Hong Kong Branch, as joint bookrunners and joint lead managers, and NH Investment & Securities Co., Ltd., as co-manager, in connection with the offering of US$500 million 2.875% Senior Unsecured Notes due 2022 by NongHyup Bank under its US$8 billion global medium term note program. The offering was conducted in reliance upon Rule 144A and Regulation S under the Securities Act of 1933, as amended.
