Simpson Thacher represented J.P. Morgan Securities LLC and the other initial purchasers in connection with a Rule 144A/Regulation S offering by Unisys Corporation (“Unisys”) of $440 million aggregate principal amount of 10.75% Senior Secured Notes due 2022. Unisys intends to use the net proceeds from the offering to redeem its outstanding senior notes due 2017 and for general corporate purposes, which may include funding cost reduction and savings initiatives, obligations under its defined benefit plans and investments in next-generation services and technologies.
