Simpson Thacher Advises on Pfizer’s €4 Billion Debt Offering and $1.065 Billion Formosa Debt Offering

Simpson Thacher recently represented the underwriters, led by Barclays Bank PLC, BNP Paribas, Goldman, Sachs & Co. and J.P. Morgan Securities plc, in connection with a registered offering of €4 billion aggregate principal amount of notes by Pfizer Inc. The notes were issued in four series with maturities ranging from 2019 to 2027.

Simpson Thacher also represented the managers, BNP Paribas, Taipei Branch and Deutsche Bank AG, Taipei Branch, and the several structuring agents, in connection with a registered offering of $1.065 billion aggregate principal amount of 4.20% notes due 2047 by Pfizer Inc. The notes are listed on the Taipei Exchange in the Republic of China (Taiwan).

The proceeds from both offerings will be used for general corporate purposes, including the repurchase or repayment of existing debt.
