Yafit Cohn Quoted in Law360 on Potential Easing of SEC’s Disclosure Rules

Corporate Counsel Yafit Cohn was quoted in a Law360 article, “Acting SEC Chair Signals Shift To Ease Disclosure Rules.” The article discussed Acting SEC Chair Michael Piwowar’s recent decision to reopen public comment on certain SEC disclosure requirements mandated by Dodd-Frank, including the conflict minerals and pay-ratio rules. Both rules were designed to increase transparency on hot-button topics but have hampered companies who say the substance of the required disclosures is not material information for investors. Yafit commented, “The purposes of each of these rules could be laudable, but to require companies and their shareholders to bear the cost associated with them is not. What ends up happening is that SEC filings get obfuscated with immaterial and potentially misleading information, which is really not what investors need.”
