CNAC Completes Acquisition of 40% Stake in Adama

The Firm represented China National Agrochemical Corporation (“CNAC”), a wholly owned subsidiary of ChemChina, in connection with its acquisition of 40% stake in Tel Aviv-based Adama Agricultural Solutions Ltd. (“Adama”), one of the world’s leading crop protection companies, from Koor Industries Ltd. (“Koor”). The consideration for Koor’s 40% stake consists of $230 million in cash and the assumption of approximately $1.17 billion in debt. Following the consummation of the transaction, CNAC is now the sole shareholder of Adama.
The Firm also represented CNAC in its initial acquisition of 60% stake in Adama from Koor for $2.4 billion in October 2011.
