Corporate Associate Yafit Cohn led the Society for Corporate Governance in the development of a comprehensive resource on proxy access bylaw provisions. The resource outlines, in a user-friendly format, various provisions that issuers may wish to consider in developing a proxy access bylaw for the first time or in response to a shareholder proposal. The publication, which is intended to educate the issuer community and provide corporate securities and other in-house counsel with information they can use to educate their companies’ boards, assumes no one-size-fits-all approach and, instead, encourages companies to tailor the various potential bylaw provisions to their own facts and circumstances.
