NongHyup Bank Completes US$8 Billion GMTN Program Update and US$500 Million Notes Offering

Simpson Thacher, acting as sole international counsel, represented Citigroup Global Markets Inc., as arranger and dealer, and BNP Paribas, Commerzbank Aktiengesellschaft, Crédit Agricole Corporate and Investment Bank, The Hongkong and Shanghai Banking Corporation Limited, ING Bank N.V., Singapore Branch, J.P. Morgan Securities plc, Merrill Lynch International, Mizuho Securities Asia Limited, NH Investment & Securities Co., Ltd., Nomura International plc, Société Générale, Standard Chartered Bank, UBS AG Hong Kong Branch, as dealers, in connection with the update of the US$8 billion global medium term note program of NongHyup Bank. In addition, Simpson Thacher, acting as sole international counsel, represented Citigroup Global Markets Inc., Crédit Agricole Corporate and Investment Bank, The Hongkong and Shanghai Banking Corporation Limited, J.P. Morgan Securities plc, Nomura International plc, UBS AG Hong Kong Branch, as joint bookrunners and joint lead managers, and NH Investment & Securities Co., Ltd., as joint lead manager in connection with the offering of US$500 million 1.875% Senior Unsecured Notes due 2021 by NongHyup Bank under its US$8 billion global medium term note program. The offering was conducted in reliance upon Rule 144A and Regulation S under the Securities Act of 1933, as amended.
