Simpson Thacher represented Performance Food Group Company (NYSE: PFGC) and selling stockholders affiliated with The Blackstone Group L.P. in connection with a public offering of common stock by certain selling stockholders (the “Selling Stockholders”). The Selling Stockholders sold 13,800,000 shares of common stock in the offering, including 1,800,000 shares that were offered and sold pursuant to a full exercise of the underwriters’ option to purchase additional shares. The Selling Stockholders received all the net proceeds from the offering.
Credit Suisse, Barclays, Wells Fargo Securities and Morgan Stanley acted as joint bookrunning managers for the offering. BB&T Capital Markets, Guggenheim Securities and Macquarie Capital acted as co-managers for the offering.
