Simpson Thacher Represents the Initial Purchasers in Connection with Unisys Corporation’s $190 Million Convertible Senior Notes Offering and Dealers in Concurrent Capped Call Transactions

The Firm recently represented the initial purchasers in connection with Unisys Corporation’s (“Unisys”) offering of $190 million aggregate principal amount of 5.5% Convertible Senior Notes due 2021. J.P. Morgan Securities LLC acted as sole bookrunning manager and Merrill Lynch, Pierce, Fenner & Smith Incorporated and Wells Fargo Securities, LLC acted as co-managers for the notes offering. The notes offering closed on March 15, 2016.

In addition, the Firm represented JPMorgan Chase Bank, National Association, Bank of America, N.A. and Wells Fargo Bank, National Association in connection with capped call transactions entered into concurrently with the notes offering.
