Simpson Thacher Represents Underwriters in $1.5 Billion Senior Notes Offering by Total System Services, Inc.

Simpson Thacher represented the underwriters, led by J.P. Morgan Securities LLC and Merrill Lynch, Pierce, Fenner & Smith Incorporated, in an offering of $750 million in aggregate principal amount of 3.8% Senior Notes due 2021 and $750 million in aggregate principal amount of 4.8% Senior Notes due 2026 by Total System Services, Inc. (“TSS”).
The net proceeds from the offering will be used to pay a portion of the approximately $2.35 billion purchase price for the company’s acquisition of TransFirst Holdings, Corp.
TSS is a global payment solutions provider that provides services to financial and nonfinancial institutions. TSS also provides processing services, acquiring solutions, related systems and integrated support services to merchant acquirers and merchants, and general purpose reloadable prepaid and payroll cards and alternative financial service solutions to the under-banked and other consumers.
